2. Use License

Permission is granted to temporarily download one copy of the materials on the Company's website for personal, non-commercial transitory viewing only. Under this license you may not:

• Reverse engineer, decompile, or disassemble any software
• Remove any copyright or other proprietary notations from the materials
• Transfer the materials to another person or "mirror" the materials on any other server
• Use the materials for any unlawful purpose or in violation of any laws

3. Service Terms

Stellar Logistics and Helix Forwarding LLC provides logistics and transportation services. All services are provided as professional services for compensation as agreed upon in separate service agreements.

Services include but are not limited to: full truckload (FTL) transportation, expedited freight, warehousing, cross-dock services, and border crossing management between the United States and Mexico.

4. Shipper Responsibilities

As a shipper, you are responsible for:

• Providing accurate shipment information
• Properly describing and packaging cargo
• Declaring accurate cargo values and contents
• Ensuring all cargo complies with applicable laws and regulations
• Paying all applicable bills and surcharges
• Providing all required documentation for border crossings

5. Limitation of Liability

UNDER NO CIRCUMSTANCES SHALL STELLAR LOGISTICS OR HELIX FORWARDING LLC BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR INCIDENTAL DAMAGES) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS, THE SERVICES, OR YOUR USE OF THE WEBSITE.

Our liability for any claim arising from our services or website shall not exceed the amount paid by you for the specific service in question during the 12 months preceding the claim.

We are not liable for delays in transit caused by acts of God, weather conditions, customs procedures, border delays, or factors beyond our reasonable control.

6. Cargo Insurance

Shippers are responsible for obtaining their own cargo insurance. While we exercise reasonable care in handling cargo, we do not guarantee coverage for loss, damage, or theft. Optional cargo insurance may be available at additional cost. Please contact us for details.

Claims for loss or damage must be filed within 30 days of delivery with supporting documentation.

7. Payment Terms

Payment for services is due according to the terms specified in your service agreement or invoice. Late payments may result in service suspension or additional charges.

A service charge of 1.5% per month will be applied to overdue accounts. All collection costs and legal fees resulting from non-payment will be charged to the account.

8. Disclaimer

Our website and services are provided on an "AS IS" basis without warranties of any kind, express or implied. We disclaim all warranties including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Indemnification

You agree to indemnify and hold harmless Stellar Logistics and Helix Forwarding LLC from any claims, damages, or costs arising from your use of our services, your breach of these terms, or your violation of any applicable laws or regulations.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts located in Laredo, Texas.

11. Dispute Resolution

Any disputes arising from these terms or our services shall first be addressed through good faith negotiation. If unresolved after 30 days, disputes may proceed to mediation or arbitration as provided in your service agreement.

12. Internet Disruptions

We are not liable for interruptions or disruptions in our website services, tracking systems, or other technology. We will make reasonable efforts to maintain service availability, but do not guarantee uninterrupted access.

13. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes are effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of modified terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
